Nexera Energy Inc. is advancing plans to transition from oil and gas exploration and production to an industrial business focused on waste tyre recycling
Nexera is currently working through regulatory and financial measures intended to restore full trading of its shares and support the proposed change in business. The company was previously an oil and gas company and is now seeking to reposition itself within the tyre recycling and resource recovery sector through the use of pyrolysis technology.
Under the proposed new business, Nexera intends to use pyrolysis, a thermal conversion process, to process end-of-life tyres and recover their component materials, describing the planned transition as the foundation for a scalable industrial platform in tyre recycling and resource recovery.
The proposed change requires approval from the TSX Venture Exchange, where Nexera is listed, as well as other applicable regulatory approvals. The company intends to file a formal Change of Business application with the exchange in connection with the transition.
Nexera is also addressing regulatory requirements that have restricted trading in its shares. The Alberta Securities Commission issued a cease trade order against the company on 5 August 2025 after Nexera failed to file its audited annual financial statements, management’s discussion and analysis, and related certifications for the year ended 31 March 2025. Those filings have since been completed, while the company is now working to complete and file its audited financial statements and associated disclosures for the year ended 31 March 2026.
The Alberta Securities Commission has partially revoked the cease trade order to allow Nexera to conduct a limited private placement of up to $320,000. The company plans to use the proceeds primarily to cover audit, accounting, financial reporting, regulatory and legal costs associated with bringing its continuous disclosure obligations up to date and pursuing a full revocation of the order.
The proposed private placement comprises up to 21.33 million units at $0.015 per unit. Each unit consists of one common share and one warrant, with each warrant providing the right to purchase an additional share at $0.10 for 24 months, subject to the terms of the offering.
Alongside these measures, Nexera has negotiated with debt holders to reduce its outstanding debt substantially through debt forgiveness and the conversion of certain indebtedness into equity. The company said the restructuring is intended to strengthen its balance sheet and provide greater financial flexibility as it pursues the new business strategy.
According to Nexera, its immediate priorities are to complete the required financial filings, obtain full revocation of the cease trade order and progress its proposed transition into waste tyre recycling. The company has not yet received final approval for the Change of Business, meaning the proposed pivot remains subject to the applicable regulatory and exchange processes.
